Legal Assistant and Paralegal - Part Time 50% - Winterthur, Switzerland

We are looking for a Legal Assistant and Paralegal to join our GF_Legal, Compliance and Risk Management team in Switzerland, who - together with the current Legal Assistant/Paralegal - can provide specialized administrative and paralegal support and secretarial assistance to the Group General Counsel, the Company Secretary, and the Legal & Compliance team in Sulzer's headquarters.

Your main tasks and responsibilities: - Corporate housekeeping matters with regard to Swiss legal entities, including updating data and records in the relevant commercial registers; support their corporate actions by planning and organizing board meetings, providing data, and maintaining structure charts and entity lists, both ad-hoc and periodically, as well as the centralized administration/storage of the corporate documents for the foreign legal entities
- Administer the global legal entity management system and manage shareholder register matters
- Prepare amendments and other contract correspondence and documents under attorney supervision
- Perform legal research and other paralegal duties and assist in special projects under attorney supervision
- Maintain, manage, and keep up to date the legal and compliance paper and electronic archive as well as the internal document and contract management systems and data bases
- Assist in the preparation of the AGM of Sulzer AG, the corporate governance report and internal project management logistics (e.g., assist in the collation of the internal litigation reporting, administering insider lists, etc.)
- Create, edit, and compile large, complex, heavily formatted documents and presentations as well as prepare correspondence, memoranda, and other documents utilizing the common MS Office applications, amongst others (experience with other software tools like e.g. legal entity management systems and AI based tool is a distinct plus)
- Support the collection of signatures, such as ensuring proper signing of contracts by the relevant parties, and manage all transactional post-closing activities, including the collection, scanning and dispatch of original documents and archiving in the electronic and paper filing systems
- Cross-divisional collaboration on administrative projects
- Make travel arrangements, prepare itineraries, and compile documents for travel-related meetings and schedule appointments and meetings for team events, trainings and the like
- Provide administrative support by preparing, reviewing, and processing expense notes, vendor invoices, managing the translation of documents, liaising with the IT department, arranging delivery and collection of documents to and from the notary public office and the like
To succeed in this role, you will need: - At least 5 years of work experience as Paralegal, Legal Assistant or a similar role in an international corporation or law firm in Switzerland
- Certified education in paralegal practice or bachelor degree in applied law from a Swiss institution is a strong plus
- Excellent proficiency in both German and English (written and spoken)
- Strong attention to detail and meticulous working style
- Solution-oriented approach
- Willingness to work on-site in our central offices in Winterthur
